Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sepia application and website operated by Jonathan Tapiero, doing business as SepiaLab ("SepiaLab", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Sepia is a software service that generates short-form video advertisements from the product images, briefs and other inputs you provide, using third-party artificial intelligence models. Output is produced automatically and delivered to your account.
2. Eligibility
You must be at least 18 years old to use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. Your account
You are responsible for keeping your login credentials confidential and for all activity under your account. You agree to provide accurate information and to notify us of any unauthorized use.
4. Credits, pricing and payment
- The Service runs on a pay-as-you-go credit model and, where offered, subscription plans. Current pricing is shown on the pricing page and may change for future purchases.
- Credits are consumed when you generate content. Generating a video deducts credits from your balance.
- Payments are processed by Stripe. Applicable taxes are added based on your billing address, in accordance with Canadian and Québec tax rules where relevant.
- All purchases are final. See our Refund Policy for details, including what happens when a generation fails for technical reasons.
- You agree not to initiate fraudulent chargebacks. Abusive chargebacks may result in suspension or termination of your account.
5. Your content and licences
You retain ownership of the product images, briefs and other materials you upload (your “Input”). You grant us a worldwide, non-exclusive licence to host, process and transmit your Input to our service providers solely to operate the Service and generate your output.
As between you and us, and to the extent permitted by the applicable AI providers, you own the videos and other content generated for you (your “Output”) and may use it for your commercial purposes once the corresponding credits have been paid.
You represent and warrant that you own or have all rights, consents and licences necessary for your Input and for the generation and use of the Output, including rights to any brand, logo, product, trademark, person, voice or likeness depicted. You are solely responsible for obtaining any consent required to use the image, voice or likeness of any individual.
6. Acceptable use
You agree not to use the Service to create, upload or distribute content that:
- Infringes the intellectual property, privacy or other rights of any third party.
- Is unlawful, defamatory, deceptive, hateful, harassing, sexually explicit, or depicts a real person without their consent.
- Impersonates any person or misrepresents your affiliation.
- Violates the advertising policies of the platforms where you publish, or any applicable law, including required advertising disclosures.
- Attempts to disrupt, reverse engineer, overload or gain unauthorized access to the Service.
7. AI-generated content
Output is generated automatically by machine learning models and may be inaccurate, generic or unsuitable for your purpose. You are responsible for reviewing all Output before publishing or relying on it, and for ensuring it complies with applicable laws, platform rules and disclosure requirements. We do not guarantee that Output is original, non-infringing or fit for a particular purpose.
8. Our intellectual property
The Service, including its software, models configuration, design, brand and content (excluding your Input and Output), is owned by us or our licensors and is protected by law. These Terms do not grant you any right in our intellectual property except the limited right to use the Service.
9. Third-party services
The Service relies on third parties such as Stripe and AI model providers, and you may publish Output on third-party platforms. Their terms govern your use of their services, and we are not responsible for them.
10. Availability and changes
We may modify, suspend or discontinue all or part of the Service, including features and pricing, and may perform maintenance that temporarily limits access. We will use reasonable efforts to limit disruption.
11. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Service will not exceed the amount you paid us in the three months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold us harmless from any claim, loss or expense (including reasonable legal fees) arising from your Input, your Output, your use of the Service, or your breach of these Terms or of any third-party rights or law.
14. Suspension and termination
We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates risk or legal exposure. You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability and indemnification.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there, without regard to conflict of law rules. You agree to the exclusive jurisdiction of the courts located in the judicial district of Montréal, Québec, except where mandatory consumer protection law provides otherwise.
16. Changes to these Terms
We may update these Terms from time to time. We will revise the date below and, for material changes, take reasonable steps to notify you. Continued use of the Service after changes take effect means you accept the updated Terms.
